Mindful Media Group Inc. (“Mindful Media Group,” “we,” “us,” “our”) provides this Privacy Policy to apply to information collected when you visit our websites located at www.mindfulmedia.group and https://www.wisdom.audio (the “Sites”) and use our mobile application Wisdom and other applications and related Services (the "Apps") (collectively, such Services, including the Apps and any new features and applications, and the Sites, are the “Services)”).

By using our Services you agree to the terms of this Privacy Policy and the accompanying Terms of Service and consent to the collection, use and disclosure practices, and other activities as described in this Privacy Policy. If you do not agree to all of these terms and conditions you may not use the Sites, the Apps, or the Services for any purpose.

Capitalized terms not defined in this Privacy Policy have the meaning ascribed to them in the Terms of Service.

If you are a Nevada Resident, California Resident, or a data subject in Europe, please see respectively the “Additional Disclosures for Nevada Residents,” “Additional Disclosures for California Residents,” and “Additional Disclosures for People in Europe” sections below. 1. What Information We Collect About You-

Here’s an overview of the information we collect when you interact with the Services, information that you provide as part of using the Services, and explanations of how we use the specific types of information. We may collect:

            a. Information you provide:

                        i. Account data, such as your first and last name, organization name, email addresses, phone number, profile picture, social media information and profiles, user name, social media usernames, and other profile information (which may include age and educational background) about you that you provide to us.

               b. Information we collect about you:

                        i. Talks & Posts on Wisdom.  We customarily record the audio of interactions that users have on the Services, including in any Talks and Posts on Wisdom ("Talks" and “Posts” are sessions on the Wisdom App to which all users have access). We customarily record the audio in a Talk or Post while the Talk is live or Post is being created and that recording is available as part of the Services, including as a textual transcript, which may have errors that do not match the voice recording. We may retain these recordings and transcripts unless the user who created the Talk or Post chooses to delete the Talk or Post recording, in which case the recording will not be available to users through the Services, but we may still retain a non-public version for purposes of investigating Code of Conduct or other safety incidents and other administrative purposes.

                        ii. Interests, usage, and connections, including information about your interests (if you choose to add them) and how you use the Services, such as the types of conversations, Groups, Circles, Posts, or Talks you engage in, content you share, features you use, actions you take, people or accounts you interact and connect with, and the time, frequency, and duration of your use.

                        iii. Communications that we exchange with users when they contact us with questions or feedback, including feedback about interacting with other users.

                        iv. Information provided by social media companies, if you interact with our pages on their services or connect your social media accounts. Connecting your social media accounts allows the Services to authenticate your identity and access limited information about those accounts. The information that social networking accounts provide to us may depend on the privacy settings you have with each company, so please consult their privacy and data practices.

                        v. Device data, such as device IP address (and derived location), device name and operating system, browser type and settings, telecommunications provider, operating system, the date and time of Services use, interactions with the Services, and the time, frequency, and duration of the interactions.

c. Information we collect via third-party tracking technologies:

We use various tracking technologies to automatically collect information when you access the Sites or use the Services, including the following:

                        i. Cookies. On the Services, we use automatic data collection technology when you visit our Services to collect information that identifies your computer or device. This comprises information about your operating system, your IP addresses, browser type and language, referring pages and URLs, keywords, date and time, and what sections of the Services you visit (the “usage information”). We collect this usage information by using cookies. Cookies are small packets of data that a website stores on your device's hard drive. Some cookies are used so that your device will “remember” information about your visit and your preferences. They help personalize your experience, and support security features. Other cookies we use help you navigate our Services and expire when you close your device or browser. We also use cookies (and the usage information collected) to help us identify you and analyze how you use the Services. You can reject cookies by following the directions provided by your device or browser vendor or by your Internet provider's “help” file. If you reject cookies, you may still use the Services, but may not be able to use some areas of the Services.

            ii. Pixels. Pixels are also known as web beacons, code embedded in a website, video, email or app that sends information about your use to a server. There are various types of pixels, including image pixels (which are small graphic images) and JavaScript pixels (which contains JavaScript code). When you access a website, video, email or app that contains a pixel, the pixel may permit us or a separate entity to drop or read cookies on your device or browser. Pixels are used in combination with cookies to track activity by a particular browser on a particular device. We may incorporate pixels from separate entities that allow us to track our conversions, and provide you additional functionality, such as the ability to connect our Services with your social media account.

            d. Information from other sources:

We may also collect information from other sources. The following are the categories of sources we may collect information from about you:

                        i. Other users of the Services.

                        ii. Social media when you engage with our content, reference our Services, or grant us permission to access information from the social media.

                        iii. Publicly-available sources, including data in the public domain.

            e. Analytics

We use one or more analytics services (such as Google Analytics and Amplitude) to evaluate your use of the Services, compile reports on activity (based on our partners’ collection of IP addresses, internet service provider, browser type, operating system and language, referring and exit pages and URLs, date and time, amount of time spent on particular pages, what sections of the Services you visit, number of links clicked while on the Services, search terms and other similar usage information), and analyze performance metrics. These partners use cookies to collect this usage information. By accessing and using the Services, you consent to the processing of data about you by these other entities in the manner and for the purposes set forth in this Privacy Policy. As indicated above, vendors may act as our service providers, or in certain contexts, independently decide how to process your information. We encourage you to familiarize yourself with and consult their privacy policies and terms of use.

2. What We Do with Collected Information

We use personal information that you provide and that we collect for business and commercial purposes. Our business purposes for collecting and using information, including within the last 12 months, include the following:

            a. Provide our Services, including to:

·       Invite users to our Services;

·       Operate the Services and our business;

·       Maintain and improve the Services and the Services' features;

·       Create and maintain your account;

·       Facilitate network connections;

·       Recommend Talks, Posts, and recommend Mentors and other users to follow;

·       Notify you when one of your contacts has joined the Services;

·       Communicate with you about the Services by sending you push notifications with announcements, updates, security alerts, and support and administrative messages, if you have enabled that functionality;

·       To monitor and analyze trends, usage, and activities;

·       Provide support for the Services, and respond to your requests, questions and feedback;

·       To prevent and address fraud, breach of policies, Terms of Service, Codes of Conduct, and threats or harm, and

·       To fulfill any other business or commercial purposes at your direction or with your notice and/or consent.

You may, at any time, opt out of receiving promotional offers by text, mail or e-mail and you may opt out of other collection practices as specified below. You may also, at any time, opt out of receiving promotional offers by SMS or text messaging by texting STOP in reply to the text that you received or using any other method of opting out of such messages that we have notified you about.

            b. Research and development. We may create and use information for our business purposes, including to analyze the effectiveness of the Services, to improve and add features to our Services, and to analyze the general behavior and characteristics of users of our Services.

            c. Support and Maintenance. We use third-party analytics services to automatically log certain information about your computer and/or mobile device and how you interact with the Services. The information collected is used to troubleshoot and prevent errors, perform data analysis, and develop new features.

            d. Compliance and protection. We may use personal information to:

  • Protect our, your, or others’ rights, privacy, safety, or property (including by making and defending legal claims);

  • Enforce the Terms that govern the Services;

  • Enforce our Code of Conduct by investigating user reports of Code of Conduct violations;

  • Audit our internal processes for compliance with legal and contractual requirements and internal policies;

  • Prevent, identify, investigate and deter fraudulent, harmful, unauthorized, unethical or illegal activity, including cyberattacks and identity theft; and

  • Comply with applicable laws, lawful requests, and legal process, such as to respond to subpoenas or requests from government authorities.

3. How We May Share the Information We Collect

We do not sell personal information, as that term is commonly understood. (See additional information in the Notice to California Residents below). In the ordinary course of business, we may share personal information as follows:

            a. Within Mindful Media Group. We may share your personal information with any parent company, subsidiary, or affiliate in the Mindful Media Group corporate family, or any acquirers or assigns. All departments within Mindful Media Group may have access to your personal information as well as anonymous, aggregate demographic data.

            b. Service providers. We may share your personal information with companies and individuals that provide services on our behalf or help us operate the Services or our business (such as hosting, analytics, engineering, QA, customer support, marketing, email, and SMS delivery).

            c. Public Postings. You should be aware that if you voluntarily disclose information, personal or otherwise, online whether through the Services or any other service available online, that information can be collected and used by others. Accordingly, you should use caution when sharing any personal information with others in any community area (whether through the Services or any other service available online).

            d. Professional advisors. We may share your personal information with professional advisors, such as lawyers, auditors, bankers, and insurers, where necessary in the course of the professional services that they render to us.

            e. Authorities and others. We may share your personal information with law enforcement, government authorities, and private parties as we believe necessary to: (a) protect our, your, or others’ rights, privacy, safety, or property (including by making and defending legal claims); (b) enforce the Terms that govern the Services; and (c) protect, investigate, and deter against fraudulent, harmful, unauthorized, unethical, or illegal activity.

            f. Business transferees. We may share your personal information with acquirers and other relevant participants in business transactions (or negotiations for such transactions) involving a corporate divestiture, merger, consolidation, acquisition, reorganization, sale, or other disposition of all or any portion of the business or assets of, or equity interests in, Mindful Media Group or our affiliates (including, in connection with bankruptcy or similar proceedings).

            g. Sharing of Answers to Youtube and to our Podcast. Any answers you publish on Wisdom may be shared to the Wisdom-branded Youtube channel and/or re-published on the Wisdom-branded podcast. They may also be shared by other members of the Wisdom community. While you may remove your answers from the Wisdom app, you acknowledge that your Answers will not be removed from Youtube or from our Podcast or anywhere else it may have been re-shared beyond Wisdom’s app.

4. How You Share Information on the Services

            a. Public. When you establish an account on ours Apps, you share certain of your profile information with the community as part of our Services.  This information includes your profile picture, bio, name, username, social media usernames, the list of users, Mentors or Ambassadors/Influencers you follow and those that follow you, the list of Talks and Posts you like, your podcast or website name and URL, the date you joined the Services, Talks, Posts, voice intros, and other events, Circles, and Groups to which you have signed up, and other information about your participation in the Services. For certain users, your profile information may include your age, educational level, and professional background.

            b. Service users. Other users with whom you have some affiliation may receive notifications about actions you take on the Services, such as giving talks or making posts.

            c. Instagram, Twitter and other social media companies. If you connect your social media accounts (e.g., Instagram, Google, Apple, Twitter or LinkedIn) with the Services, Mindful Media Group will also inform those companies that you have authorized its access to your accounts with those companies.

If you register or sign in with your Apple ID, you give Apple permission to share your Apple login, a name (that can be edited by you) and an email (you can choose to hide your email and Apple will create a random email address so your personal email can stay private). This email address will be linked to your account and will be used to retrieve your account. We will then use this personal data to form your account. If you remove our app from your Apple ID, we will no longer have access to this data. However, we will still have the personal data that we received when you first set up your account using your Apple ID (you must delete your account with us entirely for us to no longer have access to this data).

You may link your account with your Instagram, Facebook, Twitter, or LinkedIn accounts. This allows you to share some information from those accounts directly to your account. We only receive the limited information that those services permit to be transferred (as detailed by Instagram/Facebook/Twitter/LinkedIn and agreed by you when you first connect your account from such platforms with your account). If you no longer want to link your account to your Instagram, Facebook, Twitter, LinkedIn account, please visit the settings in your third-party account and follow the instructions to remove the access permissions. Please note that any information already added to your account from those platforms will not be deleted unless you delete it within your account as well.

            d. Update or delete your information. You can contact us to ask us to update or correct your information. You may also delete your account. Please note that we will need to verify that you have the authority to delete the account and certain activity generated prior to deletion may remain stored by us and may be shared with third parties as detailed in this Privacy Policy. We may delete your account or any of your content for any or no reason.

            e. Disconnect social media accounts. When you connect your social media accounts to the Services, we notify those platforms. You may disconnect your social media accounts directly on the Services at any time. Please be aware that disconnection of social media accounts may result in your inability to continue to access the Wisdom App and in our determining that you no longer should be a Mentor, Top Mentor or Ambassador/Influencer. All such decisions are solely within Mindful Media Group's discretion and are final.

5. How You May Control Your Information

            a. Account Information Choices. You may access, update, or remove certain information that you have provided to us through your account by visiting your account settings or sending an email to the email address set out in the “Contact Us” section below. We may require additional information from you to allow us to confirm your identity. Please note that we will retain and use information about you as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements.

 

            b. Tracking Technologies Choices - Cookies and Pixels. Most devices and browsers accept cookies by default. You can instruct your browser, by changing its settings, to decline or delete cookies. You may be able to access similar settings on your devices. If you use multiple browsers on your device, you will need to instruct each browser separately. Your ability to limit cookies is subject to your browser settings and limitations.

 

            c. Do Not Track. Your browser settings may allow you to automatically transmit a “Do Not Track” signal to online services you visit. Note, however, there is no industry consensus as to what site and app operators should do with regard to these signals and they may not work on devices other than computer-based browsers. Accordingly, unless and until the law is interpreted to require us to do so, we do not monitor, recognize or honor any opt-out or do-not-track mechanisms including general web browser, “Do Not Track” settings and/or signals.             d. App and Location Technologies. You can stop all collection of information via any app by uninstalling the app. You can also reset your device Ad Id at any time through your device settings, which is designed to allow you to limit the use of information collected about you. You can stop all collection of precise location data through an app by uninstalling the app or withdrawing your consent through your device settings.

 

Please be aware that if you disable or remove tracking technologies some parts of the Services may not function correctly.

 

            e. Choices Regarding Our Communications With You.

 

                        i. Opt-Out for Direct Marketing; Email Management. You may opt-out at any time from the receiving marketing and non-transactional emails from us at any time by emailing us at support@socialaudio.com  Please allow us a reasonable time to process your request. You may also opt-out of and manage your receipt of marketing and non-transactional communications by clicking on the “Unsubscribe” and “Manage Email Preferences” links located on the bottom of any marketing email and following the instructions found on the page to which the link takes you or replying to said message with “Unsubscribe”. You cannot opt out of receiving transactional e-mails related to your account, or Mindful Media Group's ongoing business relations.

 

                        ii. Push Notifications. If you have opted-in to receive push notifications on your device, you can opt-out at any time by adjusting the permissions in your device or uninstalling our app.

 

                        iii. Text Messages and Calls. You can opt-out of receiving text messages or calls to your phone number at any time by (i) for text messages, texting “STOP” in response to any text message your receive from us or contacting us as set out in the “Contact Us” section below and specifying you want to opt-out of text messages; and (ii) for calls, requesting opt-out during any call you receive from us or contacting us as set out in the “Contact Us” section below and specifying that you want to opt-out of calls.

 

Please note that your opt-out is limited to the email address, device, and phone number used and will not affect subsequent subscriptions.

6. Other Sites and Apps

The Services may contain links to websites, apps, and other online services operated by third parties. In addition, our content may be integrated into web pages, apps, or other online services that are not associated with us. These links and integrations are not an endorsement of, or representation that we are affiliated with, any third party. We do not control websites or online services operated by third parties, and we are not responsible for their actions. Please consult the privacy policies of these websites, apps, and other online services to understand how any of your information may be handled by them.

7. Children

The Services are not intended for use by children under 18 years of age. We do not knowingly gather personal information (as defined by the US Children’s Privacy and Protection Act, or “COPPA”) in a manner not permitted by COPPA. If you are under the age of 13, please do not give us any personal information and if you have friends or contacts under the age of 13, please do not make their contact information available to us or invite them to join the Services. Our Services are intended for adults. In any event, we encourage all parents to talk to their kids about online safety and to monitor their children’s use of the Internet. If you are a parent or guardian and you have reason to believe that we have collected personal information from your child in a manner not permitted by law, please contact us at support@socialaudio.com and we will endeavor to delete that information from our databases to the extent required by applicable laws.

8. Changes to This Privacy Policy

We reserve the right to modify this Privacy Policy at any time. If we make material changes to this Privacy Policy, we will notify you by updating the date of this Privacy Policy and posting it on the Services. If required by law, we will also provide notification of changes in another way that we believe is reasonably likely to reach you, such as via email or another manner through the Services. Any modifications to this Privacy Policy will be effective upon our posting the modified version (or as otherwise indicated at the time of posting). In all cases, your use of the Services after the effective date of any modified Privacy Policy indicates your acknowledgment and acceptance of the modified Privacy Policy.

9. Data Security

We incorporate standard industry practices suitable to the degree of sensitivity of the information involved to maintain the security of your personal information and to avoid its disclosure except as described in this policy. Your personal information may also be protected by the password you created when you registered as part of our Services where this feature is offered. The confidentiality of any password is yours to protect. You may change your password at anytime by following the instructions in the Services where you registered. Although we use reasonable and appropriate efforts to assure that your data remains secure when maintained by us, security during Internet transmissions or within any system cannot be assured. We cannot guarantee the security of your personal information, and we are not responsible for the privacy or security practices of any third party.

11. Notice to California Residents

We are providing this supplemental privacy notice to Consumers in California, pursuant to the California Consumer Privacy Act of 2018 (“CCPA”).

            a. Personal Information of Minors/Shine the Light. We do not knowingly “sell,” as that term is defined under the California Consumer Privacy Act, the personal information of minors under 16 years old who are California residents.

If you are a California resident under 18 years old and registered to use the Services, you can ask us to remove any content or information you have posted on the Services. To make a request, email us at the email address set out in “Contact Us” section with “California Under 18 Content Removal Request” in the subject line, and tell us what you want removed. We will make reasonable, good-faith efforts to remove the post from prospective public view, although we cannot ensure the complete or comprehensive removal of the content and may retain the content as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements.

            b. CCPA. The CCPA grants California residents the following rights:

  • Information. Our Privacy Policy describes how we use and share your personal information through the Services, including during the past 12 months. The Policy describes:

    • The sources through which we collect California residents’ personal information and the types of personal information collected in the What Information We Collect About You section above.

    • The purposes for which we use and share this information in the What We Do with Collected Information and How We May Share Information We Collect sections above.

    • How users share information via Mindful Media Group in the How You Share Information on the Services section of the Privacy Policy.

  • Access. You can request a copy of the personal information that we maintain about you.

  • Deletion. You can ask us to delete the personal information that we maintain about you.

The CCPA limits these rights. For example, companies may not provide users in response to access requests certain sensitive information and other consumers’ personal information, and may exclude information that would compromise the confidentiality of trade secrets. The CCPA also places limits on when companies must comply with a deletion request. For further information about controlling the information collected about you, please see the "How You May Control Your Information" section above.

In accordance with the CCPA, Mindful Media Group will not provide the following information in response to access requests for the reasons described:

  • Account data such as account passwords and identity verification codes, unmasked phone numbers, or email addresses, because of the sensitive nature of this information.

  • Other users’ and employees’ personal information, including the names and account information of individuals who may have invited you to the Services, other users’ feedback, and employees’ comments because it is information that belongs to another natural person and disclosing it may impact their rights.

  • Internal proprietary attributes that enable us to provide various aspects of our Services, including channel and room customization, suspension decisions, and content suggestions, because it is protected by federal and state trade secret law.

  • Server logs that are older than 30 days because we use these to ensure the security and integrity of our Services.

You are entitled to exercise the rights described above free from discrimination.

Here is how you can submit requests:

  • To request access to or deletion of personal information collected, please email us at support@socialaudio.com

  • To verify your identity prior to responding to your requests, we may ask you to provide us with your phone number so we can send you a verification code, or with other details that we may need to verify your identity.

  • Authorized agents. California residents can empower an “authorized agent” to submit requests on their behalf. We will require authorized agents to confirm their identity and authority, in accordance with the CCPA.

12. Additional Disclosures for Nevada Residents.

Nevada law (NRS 603A.340) requires each business to establish a designated request address where Nevada consumers may submit requests directing the business not to sell certain kinds of personal information that the business has collected or will collect about the consumer. A sale under Nevada law is the exchange of personal information for monetary consideration by the business to a third party for the third party to license or sell the personal information to other third parties. If you are a Nevada consumer and wish to submit a request relating to our compliance with Nevada law, please contact us as support@socialaudio.com.

13. Notice to European Data Subjects

We are providing this supplemental privacy notice to European data subjects, pursuant to European data protection laws (“GDPR”).

Controller and Representative. Mindful Media Group is responsible for how your personal data is handled. This means we are the controller of your personal data under the GDPR. You can find our contact information in the How to Contact Us section above.

Personal Data We Collect From You and How We Use It. You can read about the personal data we collect from you in the What Information We Collect About You section above, and how we use it in the What We Do with Collected Information and How We May Share Information We Collect sections above.

Justification for Data Processing. European data protection law sets out a list of justifications on which companies may rely to process personal data, and requires companies to explain to consumers the specific justifications for the company’s data processing activities.  Mindful Media Group generally relies on one of the following justifications to process personal data:

  • Contractual Necessity: To provide you with the Services in accordance with our Terms of Service.

  • Legitimate Interests: Where it is necessary for our legitimate business purposes, your interest, or the interests of a third party.

Provision of some of this data is necessary to establish an account on the Services.

Recipients of Data. We may disclose your personal data to the recipients described in the What We Do with Collected Information and How We May Share Information We Collect sections above.

Retention of Data. We keep your personal data for as long as you have an account with us. To protect the safety and security of our users, your personal data will be retained for a reasonable period of time following account deletion. For users of the Wisdom App, we record and maintain recordings of Talks. If a user reports a Code of Conduct violation relating to a Talk or Post on the Wisdom App, we also retain the audio for the purposes of investigating the incident.

To determine the appropriate retention period for your personal data, we consider the amount, nature, and sensitivity of the information, the potential risk of harm from unauthorized use or disclosure of your personal data, the purposes for which we process your personal data and whether we can achieve those purposes through other means, and the applicable legal requirements. We may delete the data by anonymizing it so it can no longer be associated with a user.

Storage. We are based in the United States and rely on cloud storage providers that store user data on our behalf in the United States.  The United States may have data protection laws less stringent than or otherwise different from the laws in effect in Europe. We have taken measures to protect the confidentiality and security of your personal data, and your rights as a data subject.

Your Rights. The GDPR grants European data subjects the following rights:

  • Access. You can request a copy of the personal data that we maintain about you. If you require additional copies, we may need to charge a reasonable fee.

  • Deletion and Correction. You can ask us to delete or correct the personal data that we hold about you.

  • Objection. You may have the right to object to how we use your personal data.

  • Restrict Processing. You may ask us to suspend our processing of your personal data, for example, if you want us to establish its accuracy or the reason for processing it.

  • Data Portability. If required to do so, we will give you your personal data in a structured, commonly used, and machine-readable format.
